Host terms & conditions

These Terms and Conditions (“Terms”) are a binding legal agreement between you (the “Host”) and ManhattanBNB LLC (d/b/a CasaVoya), a Delaware limited liability company (“CasaVoya”) governing the use of CasaVoya’s platform and/or services (such platform and/or services, individually and/or collectively, the “Platform”). Please read these Terms carefully; use of the Platform shall constitute your acceptance of these Terms.
1. Platform
CasaVoya is an advertising service where Hosts can advertise properties for rent to the public (a “User”) via the Platform. CasaVoya is solely an advertising service, and does not review the accuracy of any advertisements on the Platform or otherwise require a Host to accept or decline any solicitation or other communication arising from advertisements on CasaVoya. Any actions, or lack of action, on the part of the Host is solely the Host’s responsibility, and CasaVoya assumes no responsibility and disclaims all liability arising from (i) Host’s use of the Platform, or (ii) any actions, or lack of action, on the part of a User. Host acknowledges and agrees that the Host shall solely be liable for any damages, costs, claims, liabilities and/or judgments (including but not limited to third party claims and attorneys’ fees) incurred, arising from, and/or in connection with use of the Platform, and shall not seek reimbursement from or file any claim against CasaVoya for same.
2. Offers from Users and Communications between Hosts and Users
In the event a Host receives any offer from a User, the terms and conditions of such offer, and acceptance or rejection of such offer, is solely the responsibility of the Host. As an advertising service, CasaVoya does not allow a Host or a User to accept an offer via the Platform, and does not offer any ability for the (i) Host to receive a payment from or otherwise charge a User, or (ii) User to make a payment to a Host. CasaVoya solely connects Hosts and Users through electronic mail (which may be in the form of electronic mail prompts sent to Hosts and/or Users from time to time to facilitate communication between such parties), and the Platform does not provide the ability for Hosts and Users to communicate directly on the Platform. CasaVoya assumes no responsibility and disclaims all liability for the content of communications from a Host or User, or any actions, or lack of action, by a Host or a User.
3. Payments Solely between Hosts and Users
A Host may choose, at the Host’s sole discretion, to use a third-party, unaffiliated payment processor to accept payment from a User. Such payment shall be made outside of the Platform, and the Platform does not provide any ability for a Host or User to accept or make payments. A Host may choose to provide a User with a website link to a credit card processor to facilitate payment, and such payment link may be sent as a result of direct communications between the Host and the User. CasaVoya assumes no responsibility and disclaims all liability arising from (i) such communication, (ii) any use of such website link, and/or (iii) any third-party service used by the Host to receive payments from Users.
4. Promotions on the Platform and by Hosts
From time to time, at CasaVoya’s sole discretion, CasaVoya may offer a discount to Users on the prices set by Hosts for advertisements on the Platform (a “Platform Discount”), which may be in the form of a discount code to be entered by a User in the Platform. By a Host’s continued advertising on the Platform, Hosts agree to abide by and honor such Platform Discount. For the avoidance of doubt, use of a Platform Discount does not permit a User to make a payment on the Platform, and all payments shall continue to be made via a third-party service of Host’s choosing. Failure by a Host to abide by such Platform Discount may result in a termination of such Host’s advertisement(s) on the Platform, at CasaVoya’s sole and absolute discretion. The foregoing shall not be construed as a limitation on discounts offered directly by a Host (a “Host Discount”), and Hosts shall be permitted to offer Host Discounts in their sole discretion. For the avoidance of doubt, a Host must abide by and honor a Platform Discount regardless of whether such Host is offering a Host Discount.
5. Host’s Use of Platform
By using the Platform, the Host agrees to the following:
(i) CasaVoya is solely an advertising platform and is not responsible for any acts of Guests before, during or after a stay. Should any issues arise, Hosts are to resolve such issues directly with Guests.
(ii) CasaVoya makes no representations as to the suitability of a Host’s property for short-term rentals. Hosts are solely responsible for obtaining and maintaining any licenses required by law.
(iii) Host shall maintain accurate and up-to-date information on the Platform at all times, including but not limited to availability calendars, pricing (inclusive of all applicable taxes and fees), and property descriptions. Failure to maintain accurate information may result in removal from the Platform at CasaVoya’s sole discretion.
6. Third Party Integrations
From time to time, CasaVoya may partner with and/or use certain third-party products, software or services offered by third-party providers (“Third Party Integrations”) for the Platform. CasaVoya does not make any representations and/or warranties, express or implied, as to Third Party Integrations, and by using the Platform, the Host agrees that CasaVoya shall not be liable to the Host for any damage, losses, penalties or other costs incurred or arising from such Third Party Integrations.
7. Indemnification
Host agrees to indemnify, defend and hold harmless CasaVoya, its members, managers, officers, employees, agents, successors and assigns, from and against any and all claims, damages, losses, liabilities, judgments, penalties, fines, costs and expenses (including reasonable attorneys’ fees and expenses) arising out of or related to (i) Host’s use of the Platform; (ii) any property advertised by the Host; (iii) any acts or omissions of the Host or of any User; (iv) any breach by the Host of these Terms; and/or (v) any violation by the Host of applicable law.
8. Limitation of Liability
CasaVoya shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, goodwill, data or property, even if advised of the possibility of such damages. CasaVoya disclaims all liability for any damage to property caused by Users or third parties, for any personal injury or other harm arising from a stay, or for any act or omission of any Host, User or third party.
9. Arbitration
Any dispute, claim or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules then in effect. The arbitration shall take place in New Castle County, Delaware, before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each party shall bear its own costs and attorneys’ fees, except as otherwise determined by the arbitrator. The parties agree that arbitration shall be the exclusive forum for dispute resolution hereunder.
10. Severability
If any provision of this Agreement shall be held or made invalid by a court decision, statute or rule, or shall be otherwise rendered invalid, the remainder of this Agreement shall not be affected thereby and shall continue to remain in force.
11. Choice of Law
The interpretation, performance and enforcement of these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its principles of conflicts of law.
12. No Waiver
No waiver of any breach of any provision of the Terms shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof.
